BRIDGEDEVS — METALVIDEO PREVIEW LICENSE AGREEMENT

This Preview License Agreement (the “Agreement”) governs use of the directly distributed MetalVideo 0.9.0 Preview (the “Software”), provided by Akinori Kobayashi, operating under the name BridgeDevs (the “Licensor”). By downloading, installing, or using the Software, you agree to this Agreement.

1. License Grant
The Licensor grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Software on Apple-branded devices that you own or control, free of charge for evaluation during the Preview period described below. You may make copies as necessary to install and back up the Software for your own authorized use.

2. Features and Availability
The Software provides video playback, image processing, subtitle display, frame capture, and related features. Features, supported formats, bundled models, and availability may change through updates. Additional content, models, or components may be governed by separate terms shown with those items.
This free Preview version can be used through December 31, 2026, in the device's local time zone. From January 1, 2027, it will no longer provide playback or other application features. The Software may still be launched to view the expiration notice, open the official website, and quit. Expiration does not automatically delete your videos, external or imported models, saved settings, or history. Availability of a later Preview or product version, its price, and migration of saved data are not guaranteed. This license does not include a license to a future paid version, a discount, or a free upgrade. The Software is under development and may contain defects or compatibility issues.

3. Restrictions
Except as permitted by this Agreement, applicable law, or the applicable third-party licenses, you may not copy, distribute, sell, rent, sublicense, modify, reverse engineer, decompile, or disassemble the Software. You may not use the Software for unlawful purposes, to infringe the rights of others, or to circumvent security protections.

4. Your Media and Backups
The Software processes video, audio, subtitle, model, and image files selected by you. You are responsible for having the rights required to use, process, capture, and share such content. You are also responsible for backing up important data. The Licensor does not acquire ownership of your content through your use of the Software.

5. Privacy
Video playback and image processing run locally on your device. Benchmark submission is optional. If you choose to publish a benchmark result, the device specifications, software and model information, measurements, and any comment shown in the submission flow are sent to BridgeDevs for publication and comparison. Review the information shown before submitting. This license does not transfer ownership of your media or authorize its upload.

6. Intellectual Property
The Software and related materials are owned by the Licensor or their respective rights holders. This Agreement does not transfer ownership of the Software to you. Third-party software, codecs, models, and other components are governed by their respective license terms.

7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, MEDIA COMPATIBILITY, OUTPUT QUALITY, CONTINUOUS OPERATION, OR ERROR-FREE OPERATION. RIGHTS THAT CANNOT BE EXCLUDED UNDER CONSUMER PROTECTION LAW ARE NOT LIMITED BY THIS SECTION.

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF DATA, LOSS OF MEDIA, OR BUSINESS INTERRUPTION ARISING FROM USE OF OR INABILITY TO USE THE SOFTWARE. WHERE LIABILITY CANNOT BE LIMITED BY LAW, THAT LAW CONTROLS.

9. Termination
Your license to use the Preview features ends when the period in Section 2 expires. After expiration, you may retain the Software and use only the expiration notice, official website link, and quit operation. You may terminate this Agreement at any time by removing the Software. If you breach this Agreement, your license terminates and you must stop using and remove the Software. Expiration or termination does not cancel rights granted separately under third-party licenses.

10. Distribution and Support
This is a BridgeDevs license for the directly distributed Preview. The Licensor provides the Software and its support. Future versions distributed through the Mac App Store will be subject to the license terms accompanying those versions.

11. Governing Terms
Matters not addressed by this Agreement are governed by applicable law. Nothing in this Agreement excludes mandatory rights under applicable consumer protection law. If any provision is held invalid, the remaining provisions remain effective.

本Preview利用許諾契約（以下「本契約」）は、BridgeDevsの名称で事業を行うAkinori Kobayashi（以下「ライセンサー」）が直接配布する MetalVideo 0.9.0 Preview（以下「本ソフトウェア」）の利用条件を定めます。本ソフトウェアをダウンロード、インストールまたは使用することにより、利用者は本契約に同意したものとみなされます。

1. 利用許諾
ライセンサーは、以下に定めるPreviewの利用期間中、利用者が所有または管理するAppleブランドのデバイス上で、本ソフトウェアを評価目的で無償利用するための、限定的、非独占的、譲渡不能かつ再許諾不能のライセンスを付与します。利用者自身の許諾された利用に必要なインストールおよびバックアップのための複製は認められます。

2. 機能および提供条件
本ソフトウェアは、動画再生、画像処理、字幕表示、フレームキャプチャおよび関連機能を提供します。機能、対応形式、同梱モデルおよび提供条件は、アップデートにより変更される場合があります。追加コンテンツ、モデルまたはコンポーネントには、それらとともに表示される別個の条件が適用される場合があります。
この無料Preview版は、端末の現地時間で2026年12月31日まで利用できます。2027年1月1日以降、この版では再生その他のアプリ機能を利用できません。期限後も、終了案内の表示、公式サイトを開く操作およびアプリの終了に限り起動できます。期限切れによって、動画、外部またはImport済みモデル、保存済み設定、履歴を自動削除することはありません。後継Previewや製品版の提供、価格、保存済みデータの引継ぎは保証されません。本ライセンスには、将来の有料版の利用権、割引または無償アップグレードの権利は含まれません。本ソフトウェアは開発中であり、不具合や互換性の問題が含まれる場合があります。

3. 禁止事項
本契約、適用法令または適用される第三者ライセンスで認められる場合を除き、本ソフトウェアの複製、配布、販売、貸与、再許諾、改変、リバースエンジニアリング、逆コンパイルまたは逆アセンブルを行うことはできません。本ソフトウェアを違法な目的、第三者の権利を侵害する目的、またはセキュリティ機構を回避する目的で使用してはなりません。

4. 利用者のメディアおよびバックアップ
本ソフトウェアは、利用者が選択した動画、音声、字幕、モデルおよび画像ファイルを処理します。利用者は、それらのコンテンツを使用、処理、キャプチャおよび共有するために必要な権利を有する責任を負います。また、重要なデータは利用者の責任でバックアップしてください。ライセンサーは、本ソフトウェアの使用を通じて利用者のコンテンツの所有権を取得しません。

5. プライバシー
動画再生および画像処理は利用者の端末内で行われます。ベンチマーク結果の投稿は任意です。利用者が結果の公開を選択した場合、投稿画面に示される端末仕様、ソフトウェアおよびモデル情報、測定結果、入力したコメントが、公開および比較のためBridgeDevsへ送信されます。送信前に表示内容を確認してください。本契約によって利用者のメディアの所有権が移転したり、そのアップロードが許可されたりすることはありません。

6. 知的財産権
本ソフトウェアおよび関連資料に関する著作権その他の知的財産権は、ライセンサーまたは各権利者に帰属します。本契約は、本ソフトウェアの所有権を利用者へ移転するものではありません。第三者ソフトウェア、コーデック、モデルその他のコンポーネントには、それぞれのライセンス条件が適用されます。

7. 保証の制限
適用法令で認められる最大限の範囲において、本ソフトウェアは「現状有姿」かつ「提供可能な範囲」で提供されます。ライセンサーは、商品性、特定目的への適合性、正確性、メディア互換性、出力品質、継続的な動作またはエラーがないことについて、明示または黙示を問わず保証しません。消費者保護法上排除できない権利は、本条によって制限されません。

8. 責任の制限
適用法令で認められる最大限の範囲において、ライセンサーは、本ソフトウェアの使用または使用不能から生じる間接損害、特別損害、付随的損害、逸失利益、データもしくはメディアの損失、または事業中断について責任を負いません。法令上責任を制限できない場合には、その法令が優先されます。

9. 契約の終了
Preview機能の利用許諾は、第2条の利用期間が終了すると満了します。満了後は本ソフトウェアを保持し、終了案内の表示、公式サイトを開く操作およびアプリの終了に限り利用できます。利用者は、本ソフトウェアを削除することでいつでも本契約を終了できます。利用者が本契約に違反した場合、利用許諾は終了し、利用者は本ソフトウェアの使用を中止して削除するものとします。期間満了または契約終了によって、第三者ライセンスで別途付与された権利が取り消されることはありません。

10. 配布およびサポート
本契約は、直接配布されるPreview版のためのBridgeDevs独自ライセンスです。本ソフトウェアの提供およびサポートはライセンサーが行います。将来Mac App Storeで配布される版には、その版に付随する利用許諾条件が適用されます。

11. 準拠条件
本契約に定めのない事項には、適用法令が適用されます。本契約は、適用される消費者保護法上排除できない権利を制限しません。本契約の一部が無効となった場合でも、残りの条項は引き続き有効です。
